The business programme allows any business to open its own branded specialist shopping mall (running under a website domain name of its choice) and encourage its affiliated businesses to open a ZuBazaar store within its mall. |

The affiliate owner is responsible for marketing their shopping mall to their customers to create sales for their affiliated businesses. |
| |
|
| |
Any start-up costs incurred (including the purchase and installation of an SSL key to secure the checkout pages within the mall) must be paid in full before the mall can be opened. All website hosting and email services are provided free of charge as long as the shopping mall remains open. The affiliate owner is responsible for providing all branding materials and graphical content required to build the specialist shopping mall website. |

Any affiliate programme being created must not conflict with any other programme already in existence (including ZuBazaar.com). |

| |
Any existing ZuBazaar store can request to join a business programme and providing the affiliate owner approves the request, it will be added to the business programme. |
| |
|
| |
There must be at least 5 affiliated ZuBazaar stores trading in order to open a new business affiliate shopping mall or for an existing shopping mall to remain open. |
| |
|
| |
Affiliate owners will not be liable for the operational trading activities of their business affiliated shopping mall providing the security measures under clause 3) within the Termination section are adhered to at all times. When any affiliated ZuBazaar business signs up to use ZuBazaar (either through an affiliate shopping mall or within ZuBazaar.com) then the affiliated business will be bound by the ZuBazaar Terms of Use. |

All affiliate owners must agree in writing to these Affiliate Programme Terms and Conditions and ZuBazaar Terms of Use before their Affiliate Programme will become active. |

| |
The provision of services within each affiliated shopping mall will be the sole ownership of ZuBazaar Limited and no rights to the software or services provided by ZuBazaar Limited will be granted to the affiliate owners under any circumstances. |

| |
The 3% Card Processing fees incurred by ZuBazaar when processing business commission payments will be passed on to the affiliate owner for any percentage commission owed under the affiliate programmes. This applies to all affiliate payments (introducers fees and affiliate sales fees). The card processing fee will be automatically deducted from the self-billing invoice each month. |

Affiliate sales fee |

The affiliate owner will receive 25% of the commission paid by any ZuBazaar store for all sales processed within the affiliated shopping mall. Fees are only payable as long as the affiliate programme remains operational. See the Termination clause for more details. |

Affiliate introducers fee |
| |
If the affiliate owner has introduced a new store to ZuBazaar then the affiliate owner will receive 25% of the commission paid by any ZuBazaar store from sales occurring within any of the other business affiliate shopping malls in which that store is affiliated (including ZuBazaar.com). Commission received from a ZuBazaar store that is trading within their own integrated company website or within a co-operative affiliate programme does not form part of the Business Affiliate Programme and the affiliate owner will not receive any commission from these transactions under any circumstances. |

A business is considered to be introduced to ZuBazaar if the joining business signs up using the 'Open a ZuBazaar Store' link within their affiliated shopping mall. Prior to the affiliate shopping mall launching, any business signing up to ZuBazaar will only be considered as 'Introduced' to ZuBazaar if the affiliate owner informs ZuBazaar customer services in writing prior to each business signing up. Fees are only payable as long as the affiliate programme remains operational. See the Termination clause for more details. |

Affiliate payment terms |
| |
The affiliate owner will receive payment of any fees due on the last day of the following month in which the fees were due for payment by the affiliated business. The fees owing to the affiliate owner will only be paid in the event of the affiliated business having paid their fees in full within the 15 days allowed. Commission on non-paid or late payments from any ZuBazaar store will result in delaying the payment of the commission owed to the affiliate owner until the outstanding fees have been verified as cleared. The commission owing on any late fees will be added to the next months commission payment. |

If any commission is refunded to any ZuBazaar store (for any reason whatsoever) then the commission owed under any affiliate programme is also refunded and will not be considered payable under the affiliate programme to the affiliate owner. |

| |
Termination |
| |
The business affiliate programme will be considered terminated under the following circumstances: |
| |
|
| |
1. If an affiliate owner starts a business affiliate programme but does not open an affiliated shopping mall within 12 months of the programme commencing, then this programme will be automatically considered as terminated. |
| |
2. The affiliate programme will also be considered as terminated if the number of trading affiliated ZuBazaar stores drops to 4 or less at any time. |
| |
3. The affiliate shopping mall and website must remain securely trading and hosted within the ZuBazaar infrastructure. If the domain registration for the affiliated shopping mall is not renewed or the SSL certificate used to encrypt the secure checkout pages is invalid, or the domain is moved away from the ZuBazaar servers, or any other circumstances arise that would compromise the security of the trading website, then the affiliate programme would be considered as terminated immediately and all ZuBazaar services supporting the operation of the affiliate shopping mall will be ceased immediately (including but not limited to: website hosting and email services). |

Once an affiliate programme is considered as Terminated, the affiliate owner will be informed of the actual termination date the programme will cease. This will be not less than 30 days from the date of notification. Once the programme is terminated the affiliate owner will not receive commission payments of affiliate sales fees or affiliate introducers fees after the termination date. Once the termination date is reached, all ZuBazaar services supporting the operation of the affiliate shopping mall will be ceased (including but not limited to: website hosting and email services). |
